Jeffrey N. Fink, Partner

Biography:

Jeffrey Fink provides business and commercial legal services, including advising individuals and organizations on complex business partner and limited liability company matters; business transactions such as mergers and acquisitions; partner disputes; business organization; legal matters involving business-adjacent concerns; and general business legal advice. He also serves as a sounding board, coaching clients through both big-picture strategic questions and potential conflicts.

Before joining KCL, Jeff spent many years in the corporate law departments of major international law firms in New York and Seattle including Proskauer Rose, Perkins Coie and a mid-sized firm that became the core of Ropes & Gray’s New York office. After relocating to Boston, he co-founded a small firm that focused on representing venture-backed companies, maintained a private practice for a number of years and served as general counsel of a small investment bank. Jeff has hands-on business leadership experience as a member of KCL’s Executive Committee, through work in several software startups and through service as an outside director to a widely held private company.

Business Law

Jeff assists businesses and their owners with both transactional and general business matters. His experience ranges from start-up businesses to public companies, from real estate developers to service, financial services and manufacturing businesses, and from local businesses to multinational operations. Jeff has an extensive network of contacts and often makes key introductions to help his clients pursue their business interests. Clients look to Jeff for more than just legal work product: they look to him as an advisor they can trust.

Jeff’s work as outside general counsel to clients includes advising on transactional, general commercial, organizational, employee, licensing and other matters, as well as participating in board meetings and interfacing with company personnel at all levels to address strategic and operational concerns.

· Business organizations (business formation and dissolution, including corporations, partnerships and limited liability companies, representing early stage, venture-backed and established companies)

· Prenuptial agreements, postnuptial agreements and assisting in divorce matters involving business interests or complex financial matters

Jeff has a special interest in helping clients transition into and out of business relationships, ranging from partnership negotiations to business breakups. He has been repeatedly recognized as a Massachusetts Super Lawyer.

Dispute Resolution

Conflict can lead to constructive or destructive outcomes, depending on how it is managed. While sometimes necessary, it can also be frustrating, annoying and expensive. Long ago, Jeff recognized how dissatisfied his clients were with the time and resources conflict can absorb.

Jeff approaches dispute resolution from a practical, real-world point of view. His combination of common sense, deal-oriented negotiation, analysis, advocacy and litigation management experience and ability to listen closely to parties in conflict helps clients evaluate their goals and focus on incentives for resolution. Jeff has been widely recognized with industry awards such as the Excellence in ADR award from Massachusetts Lawyers Weekly and leadership positions in both Massachusetts and national dispute resolution organizations. He has also been involved in training other dispute resolution professionals in the US and Europe. Jeff serves in a variety of dispute resolution roles including settlement counsel, mediator, arbitrator, facilitator and collaborative lawyer.
