Jeffrey N. Fink, Partner

Biography:

Jeffrey Fink is a business lawyer with deep transactional corporate roots. He provides clients with sophisticated general business services that range from starting up a business to disposition or business divorce. His clients include individuals, local Massachusetts companies, multi-million-dollar enterprises and multinational organizations.

Before joining KCL, Jeff spent many years in the corporate law departments of major international law firms in New York and Seattle including Proskauer Rose, LLP, where he was Senior Counsel; Friedman & Kaplan; Perkins Coie; and Reboul, MacMurray, Hewitt, Maynard & Kristol (which was absorbed into Ropes & Gray). After relocating to Boston, he was a partner in a small firm that focused on representing venture-backed companies, Convergent GC, LLC, before starting his own firm. He also has experience in business through work as general counsel of Centre Capital Advisors, an investment bank, and through work in business and legal roles in several software startups.

Business Law Experience

Jeff assists businesses with both transactional and general business matters. His clients have included public and private, domestic and international companies and the individuals involved in owning and operating them. Jeff has an extensive network of contacts and often makes key introductions to help his clients pursue their business interests. Clients look to Jeff for more than just legal work product – they look to him as an advisor they can trust.

His work as outside general counsel to clients includes advising on general commercial, organizational, employee, licensing and other operational matters, as well as participating in board meetings and interfacing with people at all levels of client organizations to address strategic and operational concerns.

In addition, Jeff advises on discrete projects including:

  • Business and commercial law
  • Shareholder and stockholder disputes
  • Contract preparation and review
  • Business organizations (business formation and dissolution, including corporations, partnerships and limited liability companies, representing early stage, venture-backed and established companies)
  • Mergers and acquisitions of private companies
  • Business financing

While Jeff works in many industries, he has special depth of knowledge with business partner disputes and in the state-legal cannabis industry.

Family Law

Jeff handles a limited range of family law matters arising out of his interest in creative uses of dispute resolution techniques. As the rare transactional business lawyer who has experience with family matters, he can provide an extra layer of help when family businesses or other complex assets are involved. Jeff understands the language of both your marriage and your company and will look for opportunities to reach closure.

His experience includes:

  • Divorce, post-divorce and estate dispute mediation, particularly involving family businesses
  • Collaborative law divorce
  • Prenuptial and post-nuptial agreements, negotiated in a way that builds relationships rather than heightening conflict
  • Reviewing mediated separation agreements and prenuptial agreements
  • Business issues in divorce (via alternative dispute resolution or assisting other family lawyers who are looking to supplement their advice to clients with business law experience)

Alternative Dispute Resolution Experience

Jeff became interested in alternative dispute resolution after seeing how frustrated his clients became with the time and resources the litigation system took to resolve certain kinds of disagreements. As a mediator and collaborative attorney, Jeff helps clients resolve business and family disputes and has a particular interest in assisting with partner disputes (business divorce) and family businesses in divorce. As an arbitrator, he is also available to resolve a select range of commercial matters. With decades of deal-making experience, Jeff approaches dispute resolution from a clear, practical, real world point of view. He has found that the combination of common sense, deal-oriented negotiation and the ability to listen closely to parties in conflict serves clients across the spectrum, particularly in helping to focus all the parties on incentives for resolution. Massachusetts Lawyers Weekly has recognized Jeff with its 2020 Excellence in the Law award for Alternative Dispute Resolution.

Industry and Professional Involvement

Jeff is active in a number of professional organizations including the Massachusetts Collaborative Law Council, where he is past President; and the American Bar Association, where he is active in two sections: the Dispute Resolution Section, as Co-Chair of the Collaborative Law Committee, and in the Business Law Section, where he is a member of the Technology in M&A Subcommittee. He speaks and writes frequently on a wide range of topics.
