Biography:
Robert Finkel has more than 20 years of experience in real estate law, general business and corporate matters, employment law and non-profit law.
Robert has assisted many clients with the acquisition, development, leasing, refinance and sale of commercial and residential real estate properties. He also has extensive experience in counseling lenders and investors in connection with their real estate and business backed financings and transactions. His clients are based in Massachusetts, throughout the U.S. and worldwide.
Working with entrepreneurs, Robert has substantial experience assisting clients with the launch and growth of their businesses. He has represented many clients in connection with their incorporation, LLC formation, shareholder agreements, equity financings, bank financings, employment agreements, stock option plans, contracts, and asset and stock purchase agreements. Robert also has expertise assisting non-profit foundations and public charities in incorporating and establishing their organizations under 501(c)(3) of the Internal Revenue Code and in providing ongoing corporate counsel.
Robert enjoys working closely with clients to help bring their transactions to a successful conclusion, whether it’s the purchase, leasing, refinance or sale of real estate; a business loan secured by real estate and business assets; or the purchase, financing, investment in or sale of a business.
A founding partner of KCL, Robert is Chair of the firm’s Emerging Company Finance and Non-Profit Practice Groups.

Sale of Commercial Building Portfolio
Represented the seller in connection with the $16 million sale of several commercial retail buildings in Allston, Massachusetts.
Refinance of Self-Storage Facilities
Represented the owner of self-storage real estate portfolio in connection with the buyout of a partner’s interest, the closing on a $12 million defeasance, the refinancing of a mortgage loan, and a reworking of the company’s corporate structure.
Purchase of Retail Location
Represented a tenant in connection with the $4 million purchase of a commercial retail building in Newton, Massachusetts.
Sale of Brookline Apartment Building
Represented the seller in connection with the sale of a Brookline, Massachusetts apartment building.
Refinance of Medical Office Condominiums
Represented the owner of Brookline, Massachusetts medical office condominiums in connection with a commercial refinance.
Office Building Purchase
Represented a general contractor in connection with the purchase of an office building in Waltham, Massachusetts.
Gas Station Sale
Represented a family-owned Massachusetts gas station in connection with its sale to a gas station operator.
Refinance of Boston Apartments
Represented the owner of North End apartments in connection with a commercial refinance.
Representation of Commercial Lender
Closed 13 commercial refinance transactions with a Boston, Massachusetts multi-family owner, including drafting and negotiation of loan documents.
Restaurant Lease
Represented a North End landlord in connection with the negotiation of a restaurant lease, including sublease and guaranty.
Office Lease
Represented a medical practice in connection with the negotiation of an extension of an office lease.
Commercial Sublease
Negotiated a 6,700 square foot, multi-year commercial sublease in Cambridge, MA for the owner of a yoga studio developing a joint concept café and studio.
Amendment to Condominium Documents
Reviewed existing condominium documents and drafted amendments to the Master Deed and Declaration of Trust for the Board of Trustees
Right of First Refusal Agreement
Drafted a right of first refusal agreement for the purchase of commercial property in Medford, Massachusetts.
Business Representation
Sale of Psychology Practice
Represented a mid-size Massachusetts based psychology practice with the sale of its practice to a national provider of behavioral healthcare services. In connection with the sale, assisted with pre-deal planning and due diligence and negotiated transaction-related documents including the purchase agreement, a contingent payment agreement, an interim services agreement and a termination of a phantom stock and bonus agreement with a key employee.
Medical Practice Buyout
Represented Massachusetts physicians in connection with the sale of their medical practice interests.
Shareholder Agreement
Represented a family-owned business in connection with the drafting of a shareholder agreement designed to maintain continuity of ownership within two families and preserve the S corporation election.
Stock Option Agreement and Advisory Agreement
Represented a corporate adviser in connection with an advisory agreement and stock option agreement.
Resolution of Contract Dispute
Successfully resolved a dispute between a Newton, Massachusetts real estate company and its IT vendor.
